You can move to Bulgaria without selling a single share—and still trigger Belgium exit tax. Since the 2026 reform, leaving Belgium can count as a sale of your financial assets. But for a move to Bulgaria, payment is automatically deferred and can fall away after 24 months if the conditions are met. The useful question is therefore personal: should you sell before leaving, move and hold, or sell after the move?
This guide is for private investors and founders weighing those choices. We explain the Belgian departure calculation, the deadlines that keep the deferral alive and the Bulgarian treatment of a later sale. The rules below are checked as of 26 October 2026. They concern normal management of private wealth, outside professional activity; professional trading, speculation and company-level migrations need separate advice.
Three dates to put beside your move: 31 December 2025, your actual departure date and the end of the following 24 months. Your asset values, planned sales and residence evidence need to fit the same timeline.

Belgium Exit Tax: What Changed in 2026?
The law of 6 April 2026 introduced a tax on capital gains from financial assets, generally effective from 1 January 2026. A separate date matters for departures: SPF Finances circular 2026/C/74, point 235, excludes people who ceased Belgian residence before 1 May 2026. This guide follows that published administrative position for departures from 1 May 2026.
Under Article 92 §2, 2° of the Belgian Income Tax Code 1992 (CIR 92), transferring your domicile or the seat of your wealth outside Belgium is a deemed disposal. In plain English, Belgium calculates a gain even though you have received no sale proceeds. The departure value replaces a sale price under Article 102 §2.
Shares, ETF and fund units, bonds and crypto-assets fall within the financial-asset definition in Article 92 §1. Certain insurance and capitalisation products are also covered, but exemptions exist for specified products and income already taxed elsewhere in the code. A branch 21/23 policy needs its own classification; it should not simply be treated as another ETF.
For the departure itself, distinguish the general regime from substantial holdings of at least 20%. The internal-gains regime for an actual sale to a controlled company does not apply to the deemed disposal on departure. A real transaction before leaving still needs its own analysis (circular, point 155).

Sell Before Leaving, Move and Hold, or Sell Later?
The right sequence depends on when you need the money. If part of your portfolio will fund a home or living costs in Bulgaria, those planned sales belong in the calculation before you choose a move date. A founder with an interested buyer faces a different decision from an investor who can hold the same ETF units for several years.
| Your route | Belgian position | Question to resolve |
|---|---|---|
| Sell while still Belgian resident | A real disposal is assessed under the applicable Belgian category, basis and exemptions. | What is the actual tax on this sale, and what remains invested when you leave? |
| Move to Bulgaria and hold | Departure triggers the calculation; payment is automatically deferred. Still-deferred tax can lapse after 24 months if all conditions and filing requirements are met. | Can you keep the relevant assets and maintain qualifying residence throughout that window? |
| Move and sell within 24 months | The deferral generally ends for tax attributable to the assets sold, subject to specified exempt transactions. | How does the Belgian liability interact with Bulgarian tax on the actual sale? |
These are planning routes, not a recommendation to postpone a commercially sensible sale. Investment risk, liquidity and a buyer's timetable also matter. A tax comparison should make the trade-offs visible rather than assume that holding for two years is always the best answer.

What Belgium Calculates When You Leave
Under Articles 90, 96/2, 102, 129/1 and 171 CIR 92, the calculation starts with the relevant asset value, then the appropriate category, losses and available exemption. A headline rate alone cannot tell you the amount.
| Holding | Starting rule | Important adjustment |
|---|---|---|
| General regime | 10% on the taxable gain. The annual basic exemption for income year 2026 is EUR 10,000. | The available exemption is prorated for a shortened departure year. Check other gains, eligible losses and any complementary exemption. |
| Company rights of at least 20% | Separate substantial-holding regime, with a EUR 1,000,000 exemption before adjustments. | Previous use over the preceding four tax periods reduces availability. This exemption is also prorated for a shortened departure year. |
The substantial-holding rates apply to the gain remaining after the available exemption: 1.25% on the first EUR 2.5 million, 2.5% on the next EUR 2.5 million, 5% on the next EUR 5 million and 10% beyond EUR 10 million. Circular points 51, 54, 155 and 230 confirm the treatment, including prorating.
A shortened year is measured in months under Article 129/1; a month counts where its 15th day falls within the taxable period. Do not budget for a full EUR 1 million exemption on a mid-year departure. For illustration only, six counted months and no previous use would give EUR 500,000 before applying the relevant rules to the actual gain.
Losses are restricted to the same category and tax period under Article 102 §5. And automatic payment deferral does not mean your broker has completed the departure assessment: the deemed disposal is excluded from the withholding duty in Article 261. Have your Belgian adviser confirm the return and reporting steps.
A Hypothetical ETF Example: The Calculation and the Cash
Assume a private investor owns 1,000 identical units of one ETF, bought before 2026. For this illustration, the statutory 31 December 2025 closing value is EUR 400 per unit. The investor moves to Bulgaria on 15 July 2027, when each unit is worth EUR 460.
- Value at the reference date: 1,000 × EUR 400 = EUR 400,000.
- Departure value: 1,000 × EUR 460 = EUR 460,000.
- Deemed gain: EUR 460,000 − EUR 400,000 = EUR 60,000.
- Tax before adjustments: EUR 60,000 × 10% = EUR 6,000, before any available exemption or eligible loss offset.
This is deliberately a before-exemption illustration. We have not assumed an indexed 2027 allowance, that it remains unused, or that the investor has no other relevant gains or losses. Those facts determine the assessed amount. The EU move defers payment of the resulting liability; it does not remove the departure calculation.
If 250 of those units are sold in March 2028, the deferral ends for the exit tax attributable to those exact 250 units. The other 750 can remain deferred while the conditions continue to be met. For a mixed portfolio, selling a quarter of its market value does not establish that a quarter of the deferred tax is payable. Track the assessment against the assets actually sold (circular, point 223).
Your 31 December 2025 Value Deserves Attention
For qualifying assets acquired before 1 January 2026, Article 102 §4 uses their value on 31 December 2025 as the starting point. That generally keeps earlier growth outside this new gain calculation. Assets bought later and insurance products need their own basis rules; do not apply a 2025 snapshot to every holding.
For listed assets, the statutory rule uses the last closing price of 2025. Save the supporting statements. For unlisted shares, the starting figure is the highest applicable value from the statutory methods: qualifying 2025 arm's-length transactions or capital events; a qualifying put-option valuation formula in force on 1 January 2026; and equity plus four times EBITDA of the last financial year closed before 2026.
An eligible independent expert valuation as at 31 December 2025, completed by 31 December 2027, can replace the equity-plus-EBITDA method or apply where none of the methods fits. Article 102 §4 requires an eligible auditor or certified accountant who is not the taxpayer's usual adviser. This is worth discussing early if your company is valuable but its book figures tell a different story.
Founders: Your Stake Is More Than a Percentage
Imagine a founder with 30% of a company. A qualifying 2025 capital increase values that stake at EUR 1.8 million. Company equity is EUR 600,000 and EBITDA is EUR 450,000. The stake's share of the formula is 30% × (EUR 600,000 + 4 × EUR 450,000) = EUR 720,000. Assuming no other applicable method or replacement valuation changes the result, the higher EUR 1.8 million figure is the starting value.
That example establishes a basis, not the final tax bill. The departure valuation, substantial-holding exemption after previous use and prorating, and any later sale must still be checked. An offer arriving soon after your move also creates a timing question: selling within the window generally makes the deferred tax on those shares payable.

The 24-Month Window—and the Filing After It
Article 413/1 §6 CIR 92, inserted by Article 31 of the 2026 law, grants automatic payment deferral for a move to another EU or EEA state. Bulgaria qualifies as an EU state. You do not need to rely on your personal eligibility under the Belgium–Bulgaria tax treaty to obtain that EU destination treatment.
Still-deferred tax lapses after 24 months if the conditions are met and both attestations are filed on time. The second filing deadline comes after the holding window ends. Keep it on the calendar: waiting two years and forgetting the paperwork is not a completed plan.
| Date | Action or consequence |
|---|---|
| 15 July 2027 | Departure calculation at asset value on that date; EU payment deferral applies. |
| By 30 September 2028 | First attestation: the last day of the 14th month after the departure month. |
| After 15 July 2029 | The 24-month period has expired. Still-deferred payment obligations lapse if all applicable conditions are met; the second attestation remains necessary. |
| By 30 September 2029 | Second attestation: the last day of the 26th month after the departure month. Missing it ends the deferral. |
The Royal Decree of 18 May 2026 introduced Article 210quater AR/CIR 92. The attestations cover the first and second 12-month periods, identify tax residence and report whether the relevant assets are still held or have been transferred or made subject to the specified security arrangements. Agree responsibility for both filings with your Belgian adviser before leaving.
What Can Interrupt the Deferral?
A sale or other transfer for consideration generally ends it for the tax attributable to the affected assets. The circular recognises specified transactions that would have been exempt had you remained Belgian resident, including qualifying restructurings. Check any exchange or contribution before treating it as an ordinary sale.
A financial-collateral arrangement involving a transfer of ownership can also end the deferral. An ordinary pledge that leaves ownership with you does not end it merely because a transfer could occur on default; an actual transfer changes that analysis (circular, point 221). Borrowing against a portfolio therefore calls for reading the contract, not just its product name.
Residence matters throughout the window. Moving on from Bulgaria to a non-qualifying state can end the deferral unless sufficient security is provided and accepted. Automatic deferral also covers specified treaty states, while other destinations require an application and security. Check the next move separately (Article 413/1 §6; circular, points 220–228).
What If You Return to Belgium?
Returning within 24 months ends the payment obligation for tax that is still validly deferred. It does not erase tax already payable, for example following a sale. Article 102 §3 governs the acquisition value on return; do not assume a fresh market-value basis or that a return unwinds completed Bulgarian transactions (circular, point 229).
Prefer one practical calendar to several disconnected deadlines? Plan the Bulgarian residence steps alongside your Belgian filings.
What Happens When You Sell From Bulgaria?
Residence Must Match the Life You Actually Lead
Bulgarian domestic tax residence is governed by Article 4 of the Personal Income Tax Act (PITA). Its tests include more than 183 days in a 12-month period and a centre of vital interests in Bulgaria. A permanent address alone does not establish residence where the centre of vital interests remains abroad.
Your family, home and economic connections need to support the position you take. A residence permit, a registered address and tax residence answer different questions. We help assemble the Bulgarian residence plan and evidence, including the appropriate NRA residence-certificate application; the Belgian departure position must be consistent with the facts.
A Later Sale Needs Its Own Bulgarian Calculation
For private, non-business disposals within Article 33(3) PITA, such as ordinary unlisted-share and crypto sales, the annual computation nets eligible gains and losses and applies a 10% statutory expense allowance. The rate is 10% on the annual tax base under Article 48. Professional or business trading falls outside this illustration.
For ordinary purchased assets, documented acquisition cost is the starting point under Article 33(6); special rules can apply to contributions, exchanges and reorganisations. We have not identified a general immigration step-up in that provision. Do not assume that your Belgian 2025 value or departure value becomes your Bulgarian acquisition cost.
Article 13(1)(3), read with §1, item 11 PITA, exempts specified financial-instrument disposals on qualifying regulated or growth markets. The statutory market definition matters: a listing on any exchange worldwide is not sufficient. For ETF units, check the instrument and the actual execution venue on the trade confirmation.
Specified off-market transactions can also qualify, including redemptions by eligible collective investment schemes admitted to public offering in Bulgaria or another EU/EEA state. National investment funds have their own public-offering condition. Insurance products and other assets require separate classification; there is no single Bulgarian rule for everything Belgium calls a financial asset.
The Treaty Detail Belgian Movers Should Check
Bulgarian domestic tax residence does not automatically establish residence under this particular treaty. Article 1(2)(a) of the published Belgium–Bulgaria treaty uses Bulgarian nationality for individuals on the Bulgarian side. A Belgian national without Bulgarian nationality should have personal treaty eligibility and the appropriate residence evidence checked separately before relying on relief.
The treaty's age does not answer the exit-tax question: Article 2 expressly covers identical or similar taxes introduced later. Its capital-gains allocation in Article 13 and relief methods in Article 23 must be assessed with the person's status, the asset and the different taxing events. A deemed disposal on departure and a later actual sale are not automatically the same event for relief purposes.
Our planning assessment is that a sale within 24 months can create overlapping Belgian and Bulgarian charges. We have not found an official Bulgarian determination resolving relief for this precise new exit-tax scenario. Neither an automatic credit nor a universal absence of relief should be assumed; treaty and any domestic relief need individual analysis.
After 24 months, be precise about what has ended. If all conditions and filing requirements were met, the deferred Belgian exit-tax liability has lapsed. A later sale while Bulgarian resident still requires Bulgarian analysis and a separate check for any source-country charge or special rule. “No Belgian exit-tax payment” is not a promise that every later sale is tax-free.

Turn the Rules Into a Plan You Can Use
The practical value of understanding Belgium exit tax is knowing which decision comes next. Before fixing a departure date, identify the holdings, preserve the 2025 valuation evidence, estimate what you may sell during the window and agree the Belgian reporting responsibilities. Then build the Bulgarian residence and future-sale analysis around those facts.
